Terms & Conditions

COMPANY: APEX24 TECHSYS AND BRAND: BUCKLEUP - ENTERPRISE TERMS & CONDITIONS

Effective Date: 1 FEBRUARY 2026

These Enterprise Terms & Conditions (“Agreement”) govern access to and use of the BuckleUp AI Photo Product (“AI Photo Service” or “Service”) offered by Apex24 Techsys, a company incorporated under the laws of India (“Company,” “we,” “us,” or “our”).

This Agreement applies to Schools, School Owners, Administrators, Teachers, Parents, Guardians, Students, and any other authorized users (collectively, “Users”).

By creating an account, logging in, accessing, uploading content, or using the Service, you agree to be legally bound by this Agreement.

1. DEFINITIONS

For purposes of this Agreement:

1.1 “Institution” means any school, preschool, educational trust, coaching center, or academic organization subscribing to the Service.

1.2 “Institutional Account” means an account created by or on behalf of an Institution.

1.3 “Administrator” means an individual authorized by an Institution to manage its account.

1.4 “Teacher” means any educator or staff member authorized by an Institution.

1.5 “Parent” or “Guardian” means the lawful parent or legal guardian of a Minor.

1.6 “Student” means a learner enrolled with an Institution.

1.7 “Minor” means any individual under eighteen (18) years of age.

1.8 “Personal Data” shall have the meaning assigned under applicable Indian law, including the Digital Personal Data Protection Act, 2023 (“DPDP Act”).

1.9 “Uploaded Content” means photographs or other materials submitted to the Service.

1.10 “Generated Content” means images or outputs produced by AI systems based on Uploaded Content.

1.11 “Biometric Data” includes facial geometry, face-derived attributes, or similar analytical outputs.

2. ACCEPTANCE & AUTHORITY

2.1 By accessing or using the Service, you confirm that you have read and agree to this Agreement.

2.2 If you are acting on behalf of an Institution, you represent and warrant that you have authority to bind that Institution.

2.3 If you are a Parent, you accept this Agreement on behalf of yourself and your Minor child.

2.4 Students may access the Service only under supervision of an Institution or Parent.

3. CONSENT BY LOGIN & CONTINUED ACCESS

3.1 By creating an account or logging in, you expressly acknowledge and consent to:

  • Collection of Personal Data
  • Processing of image data
  • AI-based automated processing
  • Storage and lawful sharing as described herein

3.2 Institutional login constitutes confirmation that the Institution has obtained all required parental consents.

3.3 Parental login constitutes confirmation that you are the lawful guardian and consent to AI processing of your child’s data.

4. DESCRIPTION OF SERVICES

4.1 The AI Photo Service provides:

  • Image enhancement
  • Background modification
  • Artistic stylization
  • Lighting correction
  • Group image processing
  • Automated transformation

4.2 The Service operates using algorithmic systems that may analyze visual attributes for enhancement purposes.

4.3 The Service does not provide:

  • Identity verification
  • Surveillance capabilities
  • Behavioral profiling
  • Academic evaluation tools

5. ROLE UNDER DPDP ACT

5.1 For Institutional Accounts:

  • Institution acts as Data Fiduciary.
  • Company acts as Data Processor.

5.2 For direct Parent accounts:

  • Company acts as Data Fiduciary.

Processing shall occur only for documented purposes.

6. PROCESSING OF MINOR DATA

6.1 Institutions must obtain verifiable parental consent before uploading Minor photographs.

6.2 Parents must provide explicit consent before enabling AI features.

6.3 The Company does not knowingly process Minor data without consent.

6.4 Withdrawal of consent may result in deletion or restriction of content.

7. BIOMETRIC & AI DISCLOSURE

7.1 AI systems may temporarily analyze facial features for enhancement purposes.

7.2 The Company does NOT:

  • Create persistent biometric databases
  • Sell biometric data
  • Perform facial recognition tracking
  • Use images for surveillance

7.3 Uploaded images are not used to train public AI models without explicit consent.

8. DATA COLLECTION

We may collect:

  • Identity details
  • Contact information
  • Uploaded images
  • Generated images
  • Technical metadata
  • Usage analytics

9. DATA RETENTION

9.1 Data is retained only as long as necessary for service delivery and legal compliance.

9.2 Institutions may request deletion of stored data.

9.3 Backups may temporarily retain data for security purposes.

10. SECURITY MEASURES

We implement commercially reasonable safeguards including:

  • Encryption in transit and at rest
  • Role-based access controls
  • Audit logging
  • Infrastructure monitoring
    No system guarantees absolute security.

11. INTELLECTUAL PROPERTY

11.1 Users retain ownership of Uploaded Content.

11.2 Users grant Company a limited, non-exclusive license to process content solely for providing the Service.

11.3 The Company retains ownership of:

  • AI models
  • Software
  • Algorithms
  • Trademarks
  • Platform IP

12. ACCEPTABLE USE POLICY

Users shall not:

  • Upload unlawful or obscene content
  • Upload non-consensual images
  • Generate deepfake impersonations
  • Use the Service for harassment
  • Reverse engineer AI systems
    Violation may result in suspension.

13. INSTITUTIONAL RESPONSIBILITIES

Institutions must:

  • Maintain parental consent records
  • Restrict access to authorized staff
  • Supervise teacher usage
  • Remove access for departing employees
  • Ensure child safety compliance
    Institutions indemnify the Company for unauthorized uploads.

14. TEACHER RESPONSIBILITIES

Teachers must:

  • Upload only authorized student images
  • Avoid inappropriate manipulation
  • Respect student dignity

15. PARENT RESPONSIBILITIES

Parents must:

  • Upload only their child’s images
  • Not upload images of other minors without consent
  • Supervise student usage

16. AI LIMITATIONS & DISCLAIMER

16.1 AI outputs may contain inaccuracies.

16.2 Outputs are aesthetic and creative in nature.

16.3 No guarantee is provided regarding artistic satisfaction.

16.4 Service is provided “as is” and “as available.”

17. AUTOMATED DECISION-MAKING

The Service does not make legally binding or academic decisions through automated means.

AI outputs are assistive only.

18. INDEMNIFICATION

Users agree to indemnify and hold harmless the Company from claims arising from:

  • Unauthorized uploads
  • Violation of child protection laws
  • IP infringement
  • Misuse of AI outputs

19. LIMITATION OF LIABILITY

19.1 To the maximum extent permitted by law:

The Company shall not be liable for:

  • Indirect damages
  • Consequential damages
  • Reputational harm
  • Emotional distress claims

19.2 Aggregate liability shall not exceed fees paid in the preceding 12 months.

20. THIRD-PARTY SERVICES

We may use third-party vendors for:

  • Cloud hosting
  • AI infrastructure
  • Storage
    Such vendors are contractually bound to maintain confidentiality and security.

21. CROSS-BORDER TRANSFERS

Where data is processed outside India:

  • Appropriate safeguards are implemented
  • Transfers comply with Indian law

22. TERMINATION

22.1 Company may suspend or terminate accounts for violations.

22.2 Upon termination, access to stored content may be restricted.

23. DATA BREACH RESPONSE

In the event of a material breach:

  • Impact will be assessed
  • Required notifications will be made
  • Mitigation steps will be implemented

24. CONFIDENTIALITY

Users agree not to disclose proprietary platform features or internal documentation.

25. FORCE MAJEURE

The Company shall not be liable for events beyond reasonable control including:

  • Natural disasters
  • Cyberattacks
  • Government actions
  • Infrastructure outages

26. DISPUTE RESOLUTION

26.1 This Agreement is governed by laws of India.

26.2 Courts in Pune, Maharashtra shall have exclusive jurisdiction.

27. AMENDMENTS

We may modify this Agreement periodically.

Continued use constitutes acceptance.

29. SURVIVAL

Provisions relating to:

  • Data protection
  • Indemnity
  • Liability
  • IP ownership
  • Confidentiality

shall survive termination.

30. ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between parties regarding the services provided.
